Terms and Conditions

1.     Definitions


In these Terms and Conditions:


We/Pebble Proofreading means Jessica Bull t/a Pebble Proofreading.

You/Client means the Pebble Proofreading client specified in the Quotation.

Contract means the contract between Pebble Proofreading and the Client for the supply of Services in accordance with the Quotation and these Terms and Conditions and as otherwise agreed from time to time.

Quotation means the fee payable and payment terms for the Services. 

Services means the proofreading services provided by Pebble Proofreading to you in accordance with the instructions agreed between the parties.

2.      Basis of the Contract and Services

2.1    We will provide the Services on the basis of the information and instructions given to us by you as mutually agreed by the parties. You should not assume any knowledge of facts of your business on our part.

2.2    The Services will be performed unsupervised at such times and places as determined by us, using our own equipment.

2.3    Pebble Proofreading agrees to attend the Client’s or other premises for necessary meetings; the time spent and agreed reasonable expenses incurred to be reimbursed by the Client.

3.      Conflict of interest/Confidentiality/Copyright

3.1    We will endeavour to establish at the outset that no conflict of interest exists. If you have any reason to think that one may exist, you should immediately advise us in writing. If you or we become aware of a possible conflict, we may be required to cease to provide the Services. You will remain responsible for our fees for the period up to the date on which we cease to provide the Services.

3.2    The nature and content of the work will be kept confidential and not made known to anyone other than the Client and its contractors without prior written permission.

3.3    Any content created by us as part of the proofreading process will become the copyright of the Client, unless otherwise agreed.

4.      Fees

4.1    You will be billed for the Services in accordance with the fee rates agreed between the parties and as set out in the Quotation. Any changes to the fee rates will be agreed in writing.

4.2    Any Quotations will be based upon the instructions and information given by you and our provisional view of the likely cost of providing the Services. Quotations will always be subject to review if the nature and/or amount of the Services changes as the instruction proceeds. This may include renegotiating the fee and/or deadline.

5.      Payment Terms

5.1    We will invoice as set out in the Quotation. Invoices issued by us are due for payment upon receipt. We reserve the right to charge interest at 4% over the Bank of England base rate, or such higher rate as is allowed by statute, on all sums outstanding in excess of 30 days from the date of issue.

5.2    We reserve the right to suspend and/or terminate provision of the Services should fees remain outstanding over 30 days. We will tell you if we decide to suspend and/or terminate our Services in these circumstances. If we terminate our Services for any reason, the fees and expenses incurred up to that date and remaining unbilled will then be invoiced to you.

6.      Data Protection

6.1    The information that we may keep on record is covered by the terms of the General Data Protection Regulation. No more of such information will be held than is necessary, at any time, to comply with those terms and any compliance statement or privacy policy published by us. Where consent is required to hold or process such data, such consent has been requested and obtained.

6.2    In so far as the information is already publicly available, we may from time to time include your name and a brief factual description of the Services that we have provided to you on our website and/or in our promotional material. Please let us know if you would prefer that we do not do this.

7.      Limitation of Liability

7.1    The aggregate liability of Pebble Proofreading and Jessica Bull, including without limitation for negligence, breach of contract, misrepresentation or otherwise on its or their part in relation to any Services we perform under these Terms and Conditions shall not exceed the amount paid or payable for the relevant Services.

7.2    All liability for the following is hereby excluded:

7.2.1    any loss or damage which does not arise as a direct and natural consequence of the default in question, including direct, special, exemplary, punitive or consequential loss or damage; 

7.2.2    loss of profits;

7.2.3    loss of anticipated savings;

7.2.4    loss of revenue or business;

in each case whether arising from negligence, breach of contract or otherwise, even if we have been advised of the possibility of such loss or damage arising.

7.3    Except as set out in these Terms and Conditions, all warranties, representations, conditions and other terms implied by statute or common law are, to the fullest extent permitted by law, excluded from the Contract.

8.      Status

8.1    We confirm that we are acting as an independent contractor, responsible for our own income tax, National Insurance contributions and VAT (where applicable). Nothing in this Contract is intended to, or deemed to, constitute a partnership, joint venture or employment relationship of any kind between the parties.

9.      Legal Disclaimer

9.1    Pebble Proofreading is a proofreading service provider and does not hold itself out to be a provider of regulated legal services. We are not registered with the Solicitors Regulation Authority. We do not give advice on tax, legal, corporate or financial issues.

10.      Term and Termination

10.1    This Contract commences on the date on which you first instruct us to provide Services. You acknowledge that you accept the terms of this Contract by instructing us to provide Services to you in accordance with the Quotation. The terms of this Contract apply retrospectively to any Services provided prior to your acceptance of their terms.

10.2    Either party may, by written notice, terminate the Services with immediate effect (and without any notice) if either Party commits a serious breach of, or persistently breaches, any of his obligations under the Contract.

10.3    Either party may terminate the Services at any time by giving one month’s prior written notice to the other.

10.4    Upon termination of the Services for any reason, all fees and expenses incurred up to the date of termination and remaining unbilled will be immediately due and payable.

11.      Governing law and Jurisdiction

11.1    These Terms and Conditions shall be governed by English Law and the parties agree to submit to the exclusive jurisdiction of the English Courts.
